Daily IntELigence Brief | 27 October 2026
Implications: High — Indonesian listed companies, investors and deal teams. Issuers gain six more months to consider buybacks without a shareholder meeting, but must fund them and preserve required free float; tighter ownership and trading checks may affect market access and valuations.
Summary: On 26 October, OJK announced that the window for buybacks without prior shareholder approval will run to June 2027, while IDX said it would add independent members to its concentrated-ownership committee and investigate suspected coordinated trading more actively. These steps may change issuer capital-allocation decisions and trading risk, but do not decide MSCI's separate proposal to remove Indonesia from emerging-market indexes. OJK's announcement; Reuters' account of the joint briefing.
Context: The 20 October E&L brief covered IDX's plan to exclude High Shareholding Concentration (HSC) shares from the Jakarta Composite Index. The new step is OJK's longer buyback window and IDX's changes to who assesses HSC and how suspicious trading is pursued; the index exclusion remains a separate measure.
What changed. OJK announced on 26 October that the special buyback window would extend to June 2027 from 31 December 2026. The mechanism remains subject to OJK Regulations 13/2023 and 29/2023, issuer financial capacity, disclosure, minimum free float and later transfer of treasury shares; OJK did not announce a new exemption from those requirements. OJK also called for independent participation in IDX's HSC committee and stronger surveillance of abnormal or coordinated trades. Reuters reported that IDX plans to investigate suspected manipulation and freeze suspicious accounts under a more proactive process starting in November.
Why it matters. Boards weighing repurchases can now model a longer execution period without scheduling a shareholder vote, but should test cash needs, financing covenants, free-float headroom and the cost of re-float before committing funds. That is E&L's assessment of the existing buyback rules, not a waiver announced by OJK. Investors and transaction teams should recheck HSC exposure and liquidity assumptions as an independently broadened committee reviews the list; the committee change does not itself change the current list, according to IDX's 26 October briefing. More active investigations could increase interruption and counterparty risk in affected shares. None of these measures guarantees that MSCI will retain Indonesia's emerging-market classification; a move to Standalone would still remove Indonesian shares from MSCI emerging-market products and could force index-linked selling. MSCI's consultation.
What to watch. The formal implementation details for the buyback extension and November trading-investigation process; changes to the HSC list or methodology; and investor feedback to MSCI by 30 April 2027, ahead of its decision by 30 June 2027.
E&L uses AI unashamedly in all of our workflows. We wanted a quality daily briefing and were so pleased with the results we decided to share it here. Like Humans, AI can make mistakes - this is not formal advice, but intended to inspire discussion.
